In-Detail is a Dallas-based sales, marketing, and distribution agency serving the home furnishings trade. Founded in 1994 and operating from a 24,000-square-foot showroom in the Dallas World Trade Center, the company represents a curated portfolio of roughly 20 manufacturers across accent furniture, lighting, wall décor, rugs, textiles, and accessories, holding exclusive territorial rights across a six-state region.
Over three decades, the founders built an active book of approximately 6,500 buyers of interior designers and independent retailers, supported by a network of independent sales representatives. The business’s value value rested on relationships: long-tenured vendor lines, a loyal designer clientele, and a showroom team with decades of combined industry experience.
Transaction Highlights
The two founding owners were approaching retirement and wanted a buyer who would preserve the business, retain the team, and carry the vendor relationships forward.
Confidentiality was the central constraint. Manufacturer representation agreements in this industry typically run on 30- to 60-day terms, and word of a sale reaching vendors before a transition plan was in place could have cost the company its lines. Trailhead ran a tightly controlled process, timed against the company's trade-show calendar, with the goal of having a transition path identified before the June Dallas Market.
The process generated eleven written and verbal offers within roughly ten weeks of launch, including from individual acquirers, search-fund style buyers, and an industry strategic. Trailhead maintained a running offer comparison for the owners across valuation, structure, financing certainty, buyer qualifications, and expected transition length.
The selected buyers emerged from inside the industry, with more than 30 years of combined experience in the trade. Their offer was a full-price, all-cash proposal with no seller financing, a short transition period, and a commitment to retain all staff.
Trailhead then managed an SBA lender-driven closing, including bank diligence and a pre-closing F-reorganization that allowed the sellers to receive equity-sale treatment while delivering the buyers a structure their lender and tax advisors required. The transaction closed 2026.
Buyer Profile
The buyers are two Dallas-area home furnishings industry veterans acquiring through a newly formed holding company. One will assume the day-to-day leadership role, and both bring direct knowledge of In-Detail's vendors, customers, and showroom operations. The founders agreed to a post-closing transition period and consulting availability and were invited to join the company's new Board of Advisors.
